1. Introduction

These Terms of Use (the "Terms") govern your access to and use of the RCMGen website located at rcmgen.com (the "Website"), our online tools (including the Free Instant Revenue Audit, Denial Recovery Report request, ROI calculators, benchmark comparisons, and similar features), our published phone numbers, and any related online content, forms, and communications (collectively, the "Services"). RCMGen LLC is a Delaware limited liability company ("RCMGen," "we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

2. Who these terms apply to

These Terms apply to any person or organization accessing the Website or Services, including prospective clients, current clients, business partners, consultants, media, and general visitors. Separate contractual agreements govern any paid engagement between RCMGen and a client. In the event of a conflict between these Terms and a signed client agreement, the signed agreement controls.

3. Permitted use

You may use the Services for legitimate purposes including researching revenue cycle management services, submitting inquiries, booking discovery calls, downloading resources provided by RCMGen, running our online tools to assess your revenue cycle performance, and evaluating our services for potential engagement. You agree not to use the Services for any purpose that is unlawful, harmful, or inconsistent with these Terms.

4. Prohibited use

You agree not to do any of the following while accessing the Services:

• Violate any applicable U.S. federal, state, or local law or regulation
• Infringe on the intellectual property rights of RCMGen or any third party
• Transmit viruses, malware, or other harmful code
• Attempt to gain unauthorized access to any RCMGen system, network, or data
• Scrape, harvest, or automatically collect data from the Website or Services
• Misrepresent your identity or affiliation when submitting information
• Use the Services to conduct commercial competitive intelligence without written consent
• Reverse engineer, decompile, or attempt to derive the source of any RCMGen technology, tool, or output
• Submit fabricated or intentionally misleading data through our online tools
• Use the Services to harass, defame, or harm any person or organization

5. Online tools, audits, and calculators

RCMGen provides free online tools to support your evaluation of revenue cycle performance and of RCMGen as a potential vendor. These tools include the Free Instant Revenue Audit, the Denial Recovery Report request, ROI calculators, and benchmark comparisons.

By using these tools, you understand and agree that:

• Outputs from these tools (revenue leakage estimates, denial recovery projections, KPI comparisons, recoverable-amount estimates) are based on the inputs you provide and on industry benchmarks. Outputs are estimates for general informational purposes only and do not constitute financial, legal, accounting, or regulatory advice.
• Actual results vary by organization, payer mix, specialty, operational maturity, and other factors. RCMGen makes no representation or warranty that any tool output reflects the financial performance you would experience as a client.
• Tool inputs may be retained and used by RCMGen as described in our Privacy Policy, including for marketing follow-up, retargeting, aggregated benchmark research, and editorial content.
• Inputs you submit to our tools are not Protected Health Information unless they include patient-identifiable details. Do not submit patient-identifiable information through our online tools.
• RCMGen may modify, suspend, or remove any tool at any time without notice.

6. Intellectual property

All content on the Website, including text, graphics, logos, images, tools, calculators, templates, reports, benchmarks, and software (the "Content"), is owned by RCMGen LLC or licensed to us. Content is protected by U.S. copyright, trademark, and other intellectual property laws. You may view, download, and print Content for your internal business evaluation purposes. You may not republish, redistribute, sell, or commercially exploit any Content without prior written permission from RCMGen.

When you submit information through the Website (including contact forms, proposal requests, discovery call bookings, tool inputs, or uploaded files), you represent that the information is accurate, that you have authority to provide it, and that your submission does not violate any third-party rights or legal obligations. 8. Confidentiality and PHI

Information you submit through the Website that is reasonably understood to be confidential business information is treated as confidential by RCMGen. For any engagement involving Protected Health Information (PHI) under HIPAA, a separate Business Associate Agreement (BAA) must be executed before any PHI is exchanged.

9. Phone calls, recording, and AI voice assistance

When you call a published RCMGen phone number, your call may be routed through cloud telephony providers and may be answered by an automated voice assistant powered by artificial intelligence. Calls may be recorded for quality, training, and compliance purposes. If your call is being recorded, you will be notified at the start of the call. By continuing the call after notification, you consent to the recording. If you do not consent, please end the call and contact us by email instead.

10. Third-party links and services

The Services may contain links to third-party websites, services, or resources. RCMGen does not control these third parties and is not responsible for their content, privacy practices, or actions. Access to third-party sites is at your own risk.

11. Service availability

RCMGen makes reasonable efforts to keep the Website and Services available but does not guarantee uninterrupted access. We may modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable for any loss resulting from unavailability of the Services.

12. No professional advice

Content on the Website, including outputs from our online tools, is provided for general informational purposes and does not constitute legal, financial, accounting, medical, or regulatory advice. Revenue cycle decisions should be made in consultation with qualified professionals. RCMGen is not a law firm, CPA firm, or licensed healthcare provider.

13. Disclaimer of warranties

The Services are provided "as is" and "as available" without warranties of any kind, either express or implied. RCMGen disclaims all warranties including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted access. We do not warrant that the Website, our online tools, or our outputs are free of errors, viruses, or harmful components, or that tool outputs will reflect actual results.

14. Limitation of liability

To the maximum extent permitted by law, RCMGen LLC and its officers, employees, contractors, and affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.

For free use of the Services (including online tools, audits, and general website access), our total aggregate liability is limited to the greater of one hundred U.S. dollars (USD $100) or the amount you have paid us in the twelve months preceding the event giving rise to the liability.

This limitation does not apply to direct damages arising from our gross negligence or willful misconduct, or to liability that cannot be limited under applicable law. Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless RCMGen LLC and its affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your breach of these Terms, your misuse of the Services, your submission of inaccurate or unauthorized information, or your violation of any law or third-party right.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles. Any dispute arising from these Terms or your use of the Services will be resolved exclusively in the state or federal courts located in New Castle County, Delaware. You consent to personal jurisdiction in those courts.

17. Modifications to these terms

We may update these Terms at any time. Material changes will be posted on the Website with a revised "Last updated" date. Continued use of the Services after changes take effect constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

19. Entire agreement

These Terms, together with any applicable signed client agreement and the RCMGen Privacy Policy, constitute the complete agreement between you and RCMGen regarding the Services.
